1. About these Terms

1.1 Who we are. Pipitrend is a social networking and creator platform for African users. It is run by Pipitrend, Olonkola Rd, Lekki, Lagos State, Nigeria ("we", "us", "Pipitrend").

1.2 What these Terms cover. These Terms of Service ("Terms") apply when you use the Pipitrend iOS and Android apps, our website at pipiafrica.com, and any related services (together, the "Service").

1.3 Agreement. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1.4 Key terms.

  • "Content" means anything posted, uploaded, sent or shared on the Service. This includes text, photos, video, audio, messages, comments, reactions, products, jobs, funding campaigns and offers.
  • "Your Content" means Content you post or send.
  • "Wallet" means your in-app Pipitrend wallet.
  • "Premium" means the Pipitrend Premium subscription.
  • "Store" means the Apple App Store or Google Play, depending on your device.

2. Who can use Pipitrend

2.1 Minimum age. You must be at least 13 years old to use the Service.

2.2 Under 18. If you are under 18, you may use the Service only with the consent of your parent or legal guardian. Your parent or guardian must agree to these Terms on your behalf and is responsible for your use of the Service. We may ask for proof of consent.

2.3 Features that require you to be 18. You must be at least 18 (or the age of majority where you live, if higher) to: (a) buy Premium; (b) top up, transfer or withdraw money through your Wallet; (c) sell products or offers, or post jobs; (d) run funding campaigns or ads; and (e) receive creator payouts.

2.4 Legal ability. You confirm that you are legally able to enter into a binding agreement with us and are not barred from using the Service under any applicable law.

2.5 Accurate date of birth. You must give your real date of birth. If we learn you are below the minimum age, we will close your account.

3. Your account

3.1 Registration. To use most features, you must create an account. You must give accurate and current information, including your name, username, email address, phone number and date of birth.

3.2 One person, one account. Do not create accounts for other people without permission, or impersonate anyone. Do not create accounts to get around a suspension or ban.

3.3 Keep your login secure. You are responsible for your password and for everything that happens under your account. Use a strong password. We offer two-factor authentication and strongly recommend you turn it on.

3.4 Tell us about problems. If you think someone has accessed your account without permission, change your password and contact us at support@pipiafrica.com straight away.

3.5 Deleting your account. You can delete your account inside the app at any time through your account settings. What happens to your data is explained in our Privacy Policy. Deleting your account or the app does not cancel a Premium subscription. See section 8.

4. Your content and our licence

4.1 You own Your Content. You keep ownership of everything you post. We do not claim ownership of Your Content.

4.2 Licence you give us. To run the Service, we need your permission to use Your Content. By posting Content, you give us a worldwide, non-exclusive, royalty-free licence to host, store, display, reproduce, adapt (for example, resizing or compressing), distribute, and make available Your Content on and through the Service. This includes sending it to other users, showing it in feeds, search results and notifications, and backing it up.

4.3 Sub-licensing. This licence includes the right to let our service providers (such as our cloud storage and calling providers listed in section 12) handle Your Content only to run the Service for us.

4.4 How long the licence lasts. The licence lasts while your Content is on the Service. When you delete Content or your account, we will stop showing it and will remove it as described in the Privacy Policy. The licence continues for a limited time for copies in backups, and for Content that other users have shared, reposted or sent to others (for example, messages already delivered to another person), unless the law requires otherwise.

4.5 Your responsibility. You are responsible for Your Content. You promise that you own it or have all the rights needed to post it, and that it does not break these Terms or the law.

4.6 Other users' content. Content on the Service belongs to the people who posted it. You may not copy or reuse other people's Content except as the Service allows (for example, sharing within the app) or with the owner's permission.

4.7 Feedback. If you send us ideas or suggestions, we may use them without owing you anything.

4.8 Our property. The Service, including our name, logo, software and design, belongs to us or our licensors. These Terms do not give you any rights in them, except the right to use the Service as allowed here.

5. Acceptable use and prohibited content

5.1 The basic rule. Be respectful and lawful. You must not use the Service to do, or to post, anything listed below.

5.2 Prohibited content. Do not post, send or promote Content that:

  • sexually exploits or endangers children in any way. We have zero tolerance for this. We will remove it, close the account and report it to the relevant authorities;
  • is sexually explicit, pornographic or nude, or that sexually exploits any person;
  • threatens, harasses, bullies, intimidates or abuses anyone;
  • promotes hatred, discrimination or violence against people because of their race, ethnicity, nationality, religion, gender, sexual orientation, disability or similar traits;
  • shows or promotes graphic violence, self-harm or suicide, or terrorism;
  • is false or misleading in a way that could cause harm, including scams, fake giveaways, fake jobs, fake funding campaigns or fake offers;
  • infringes anyone's copyright, trademark or other rights (see section 7);
  • shares someone's private information (for example, their address, phone number, ID or financial details) without their consent;
  • promotes illegal goods or services, including illegal drugs, weapons, stolen goods or counterfeit items;
  • contains viruses or malicious code.

5.3 Prohibited conduct. Do not:

  • use the Service for anything illegal;
  • spam, mass-message or post repetitive or unsolicited promotional Content;
  • fake likes, follows, views or other engagement, or use bots or scripts to do so;
  • collect or scrape data about other users or Content by automated means;
  • try to access accounts, systems or data you are not allowed to access, or interfere with the security or operation of the Service;
  • reverse engineer, decompile or copy our apps, except where the law allows;
  • use the Wallet for fraud, money laundering, terrorist financing or to move funds from illegal activity;
  • abuse referral, affiliate, ad or reward programmes;
  • use the Service in a way that harms our reputation, or other users, or our systems.

5.4 Ads and commercial content. Ads and commercial posts (including product, offer, job and funding posts) must be accurate, lawful and clearly labelled where required.

5.5 Regional laws. You must also follow the laws that apply to you.

6. Moderation, reporting and blocking

6.1 What we do. We work to keep Pipitrend safe. We use content filtering and review to find and remove Content that breaks these Terms. We may remove, restrict or reduce the visibility of Content, and we may warn, restrict or remove accounts.

6.2 Report Content and users. You can report any post, reel, story, blog, comment, message, profile, group, page, event, product or other Content using the Report option in the app. You can also email support@pipiafrica.com.

6.3 Block users. You can block any user at any time from their profile. Once you block a user, they can no longer interact with you through the Service in the ways described in the app.

6.4 How we handle reports. We review reports and act on those that break these Terms or the law. We aim to review reports promptly and to remove clearly objectionable Content quickly. We will remove Content and accounts that seriously or repeatedly break the rules, including abusive users.

6.5 No duty to monitor. We do not promise to review all Content before it is posted. We are not responsible for Content posted by users, but we will act when we become aware of a breach.

6.6 Appeals. If you think we made a mistake removing your Content or restricting your account, email support@pipiafrica.com with the details. We will review your request.

6.7 Private and secret groups. Content in private and secret groups is visible only to their members, but it is still subject to these Terms, and members can report it.

7.1 Respect copyright. Only post Content you have the right to post. We respond to valid notices of alleged copyright infringement.

7.2 How to send a takedown notice. If you believe Content on Pipitrend infringes your copyright, send a written notice to our designated copyright agent:

  • Designated agent: Dr Richard Wealth
  • Address: Olonkola Rd, Lekki, Lagos State, Nigeria
  • Email: support@pipiafrica.com

Your notice must include:

  • your physical or electronic signature;
  • a description of the copyrighted work you say has been infringed;
  • the location (link or other details) of the Content you say infringes, so we can find it;
  • your contact details (name, address, phone, email);
  • a statement that you have a good-faith belief the use is not authorised by the copyright owner, its agent or the law; and
  • a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act for them.

7.3 What we do. When we receive a valid notice, we may remove or disable access to the Content and tell the person who posted it.

7.4 Counter-notice. If your Content was removed and you believe it was a mistake or that you have the right to post it, you may send a counter-notice to the address above with: (a) your signature; (b) identification of the removed Content and where it appeared before removal; (c) a statement under penalty of perjury that you believe in good faith the Content was removed by mistake or misidentification; and (d) your name, address, phone, email, and your consent to the jurisdiction of the courts of Lagos State, Nigeria and that you will accept service of process from the person who sent the original notice. If the original complainant does not tell us within 10 business days that they have started legal action, we may restore the Content.

7.5 Repeat infringers. We will close the accounts of users who repeatedly infringe copyright. We treat three valid notices against an account as repeated infringement, but we may act sooner in serious cases.

7.6 False claims. Sending a false notice or counter-notice can have legal consequences.

8. Pipitrend Premium subscription

8.1 What Premium is. Pipitrend Premium is an auto-renewable subscription that gives you access to the premium features described in the app at the time of purchase.

8.2 Price and billing period.

  • Price: the weekly price shown in the app at purchase. That is the price you pay, including any taxes shown by the Store. Prices may vary by country and currency.
  • Billing period: one week (7 days).

8.3 Buying through the Store. Premium is sold only through the Apple App Store (in-app purchase) on iOS or Google Play Billing on Android. Payment is charged to your Apple ID or Google Play account when you confirm purchase. We do not process Premium payments, and Paystack is not used for Premium.

8.4 Automatic renewal. Your subscription renews automatically every week at the then-current price until you cancel. Your account will be charged for renewal within 24 hours before the end of the current period (Apple) or as set out by Google Play. You will be charged again each week until you cancel.

8.5 How to cancel. You must cancel through the Store. Deleting the app or deleting your Pipitrend account does not cancel your subscription. To cancel:

  • iPhone/iPad: Settings > [your name] > Subscriptions > Pipitrend > Cancel Subscription (or through the App Store).
  • Android: Google Play > Profile icon > Payments & subscriptions > Subscriptions > Pipitrend > Cancel subscription.

To avoid being charged for the next week, cancel at least 24 hours before the end of the current period. If you cancel, you keep Premium until the end of the period you have already paid for. After that, Premium ends.

8.6 No refunds for unused time. We do not give refunds or credits for any unused part of a billing period, or for time remaining after you cancel, except where required by law. Refund requests are handled by Apple or Google under their policies (for example, through Apple's "Report a Problem" or Google Play's refund process). We cannot issue Store refunds ourselves.

8.7 Price changes. We may change the Premium price. If we do, we will follow Store rules on notice and consent. You can cancel before a new price takes effect.

8.8 Subscription status. We receive your subscription status and purchase receipts from Apple or Google so we can unlock Premium for you. If your subscription ends or a payment fails, Premium features will stop.

8.9 Account link. Premium is linked to the Store account that bought it. If you want to use it on another device, you may need to restore purchases.

9. Wallet and payments

9.1 What the Wallet is. The Wallet lets you top up, send money to other Pipitrend users, and withdraw money. It records your balance in the currency shown in the app.

9.2 Not a bank account. Your Wallet is not a bank account. Your balance is not a bank deposit. It is not insured, and it does not earn interest. We are not a bank.

9.3 Payments by Paystack. Top-ups and withdrawals are processed by Paystack, our payment provider. When you pay by card, bank transfer or another method offered, your card or bank details go to Paystack. We do not store your full card number. We keep records of your transactions and your Wallet balance. Paystack's own terms and privacy policy apply to its services. Paystack may also ask you to verify your identity or provide extra information under its rules.

9.4 Top-ups. You can add money to your Wallet using the payment methods shown in the app. Top-ups may be subject to minimum and maximum amounts and fees, which are shown in the app.

9.5 Transfers between users. You can send Wallet funds to other users. Check the recipient before you confirm. Transfers are generally final and we cannot reverse a transfer sent to the wrong person, except where the law requires or in cases of fraud or error that we choose to investigate. Any transfer fees are shown in the app before you confirm.

9.6 Withdrawals.

  • You can request to withdraw your available Wallet balance to a bank account in your name.
  • Any minimum withdrawal amount and fees are shown in the app. Processing is usually quick, but it may take longer because of Paystack or your bank.
  • We may ask you to verify your identity before a withdrawal. We may delay or refuse a withdrawal if we suspect fraud, illegal activity or a breach of these Terms, or if the law requires.
  • You are responsible for giving correct payout details.

9.7 Fees and taxes. Fees are shown in the app before you confirm. You are responsible for any taxes that apply to you. We may change fees on notice.

9.8 Errors and disputes. If you see a transaction you don't recognise or a wrong amount, contact support@pipiafrica.com promptly. We will investigate.

9.9 Frozen or restricted Wallets. We may freeze, limit or close a Wallet if we suspect fraud, money laundering, unauthorised use or a breach of these Terms, or if required by law or a court, or by Paystack. We will tell you where we are allowed to.

9.10 Unclaimed balances. If you close your account or it is closed, you should withdraw your balance first.

9.11 Chargebacks. If a top-up is reversed or charged back, we may deduct the amount from your Wallet and, if it is not enough, may restrict your account until it is settled.

10. Creator monetization and payouts

10.1 Ways to earn. Depending on eligibility, creators may earn through: (a) affiliate and referral programmes; (b) ad revenue sharing; (c) paid content; and (d) funding campaigns (crowdfunding). Not every user or feature will be available to everyone.

10.2 Eligibility. To join a monetization programme, you must be 18 or over, follow these Terms, and meet any requirements shown in the app (for example, follower counts, identity checks or payout details). We may change or end programmes at any time.

10.3 Earnings and payouts. Earnings are added to your Wallet when they are confirmed and cleared. You can withdraw them under section 9. Revenue shares, commission rates and fees for each monetization feature are shown in the app.

10.4 Paid content. If you sell access to Content, you must describe it accurately and deliver what you promise. Buyers use the Service only for personal use and must not copy or redistribute paid content.

10.5 Funding campaigns. Funding campaigns let users ask for money. We do not guarantee that a campaign will be funded or that the money will be used as promised. We are not an investment platform. Contributions are not investments, loans or shares, and do not give the contributor any ownership or return, unless the campaigner clearly states a different arrangement that is lawful. You must not run a campaign that is misleading or fraudulent. We may pause, remove or refuse campaigns and hold or reverse funds where we suspect fraud or a breach.

10.6 Reversals. We may withhold, reverse or recover earnings that came from fraud, fake engagement, refunds or chargebacks, or a breach of these Terms.

10.7 Taxes. You are responsible for reporting and paying any taxes on your earnings.

10.8 Independence. Creators are independent. Using monetization features does not make you our employee, partner or agent.

11. Dealings between users

11.1 We are a platform. The marketplace, product, job, funding and offer posts let users deal with each other. We are not a party to those deals. Sellers, buyers, employers, applicants, campaigners and contributors deal at their own risk.

11.2 No checks or guarantees. We do not guarantee the quality, safety, legality or delivery of anything offered, or that a listing, job or campaign is genuine. Take care and check before you pay or share personal details.

11.3 Your responsibility. Sellers must describe items honestly, be allowed to sell them, and meet consumer, tax and licensing rules. Employers must post lawful jobs and must not ask applicants for payments.

11.4 Disputes between users. Resolve disputes directly with the other user. You can report suspicious listings, users or campaigns to us. We may help but are not required to.

12. Third-party services

The Service uses the following providers. Their own terms and privacy policies apply to their services.

  • Paystack: processes Wallet top-ups, and payouts and withdrawals.
  • Apple Inc.: in-app purchases and subscription billing on iOS.
  • Google: Play Billing (Android subscriptions); Google Cloud Storage (storing media and files); Firebase; geocoding (converting location to a place name).
  • OneSignal: sending push notifications.
  • Agora: real-time audio and video calling.

The Service may also contain links to third-party websites. We do not control them and are not responsible for them. Details of how we share data with these providers are in the Privacy Policy.

13. Suspension and termination

13.1 You can leave. You can stop using the Service and delete your account at any time (see section 3.5). Remember to cancel any Premium subscription through the Store and to withdraw any Wallet balance first.

13.2 We can suspend or end your access. We may remove Content, or suspend, restrict or close your account, immediately and without prior notice if:

  • you break these Terms or the law;
  • your activity risks harm to other users, to us, or to the Service;
  • we are required to by law or by a court, regulator or payment provider;
  • you repeatedly infringe copyright; or
  • we stop providing the Service (we will try to give notice).

13.3 Explanation. Where we can, we will tell you why, and how to appeal (see section 6.6).

13.4 What happens next. If your account is closed, you must stop using the Service. Sections that by their nature should continue (for example, sections 4.4, 14, 15, 16, 17 and 20) survive. Wallet funds owed to you will be handled under section 9, except where we must hold or forfeit them under law or because of fraud.

14. Disclaimers

14.1 As is. The Service is provided "as is" and "as available". To the fullest extent permitted by law, we do not promise that the Service will be uninterrupted, error-free or secure, that Content will always be available, or that it will meet your needs.

14.2 User content and other users. We do not endorse Content or users, and we are not responsible for what users post or do, on or off the Service.

14.3 Calls and live features. Audio and video calls, live posts and chat depend on your device and network and on third-party providers. We do not guarantee quality or availability.

14.4 No professional advice. Content on the Service is not legal, financial, medical or other professional advice.

14.5 Your rights. Nothing in these Terms removes rights that the law says cannot be removed, including consumer rights that apply to you.

15. Limitation of liability

15.1 What we don't exclude. Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.

15.2 Limits. Subject to 15.1, and to the fullest extent permitted by law:

  • we are not liable for indirect, incidental or consequential losses, or for loss of profits, revenue, data, goodwill or opportunity; and
  • our total liability to you for all claims relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, and (b) NGN 50,000.

15.3 Third parties. We are not liable for losses caused by other users, by third-party providers (including Apple, Google, Paystack, OneSignal and Agora), or by events outside our reasonable control, such as network failures, power cuts, or acts of government.

16. Indemnity

You agree to compensate us and our directors, employees and partners for losses, claims and costs (including reasonable legal fees) arising from: (a) Your Content; (b) your breach of these Terms or the law; or (c) your infringement of another person's rights. We will tell you about any claim and let you help with the defence where reasonable.

17. Governing law and dispute resolution

17.1 Governing law. These Terms, and any dispute arising from them or the Service, are governed by the laws of the Federal Republic of Nigeria.

17.2 Talk to us first. If you have a dispute, contact support@pipiafrica.com first. We will try to resolve it within 30 days.

17.3 Courts. If a dispute is not resolved, it will be decided exclusively by the courts of Lagos State, Nigeria.

17.4 Consumers. Nothing here removes rights you have as a consumer under mandatory law, including the right to go to a court or regulator where the law gives you that right.

17.5 Injunctions. We may go to court at any time to protect our intellectual property or the security of the Service.

18. Apple and Google terms

18.1 Apple. If you use the iOS app:

  • These Terms are between you and us, not Apple. Apple is not responsible for the app or its Content.
  • Apple has no duty to give maintenance or support for the app.
  • If the app fails to meet any warranty that applies, you may tell Apple, and Apple may refund the purchase price (if any). To the extent permitted by law, Apple has no other warranty duty for the app.
  • Apple is not responsible for claims about the app, including product liability, legal or regulatory compliance, consumer protection, or intellectual property claims.
  • You confirm you are not in a country under a US government embargo and are not on a US list of restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
  • Apple's standard licensed application end user licence agreement applies to your use of the iOS app in addition to these Terms; if the two conflict about the app licence, Apple's terms prevail.

18.2 Google. If you use the Android app, Google Play's terms and Google Play Billing rules also apply to your purchases and subscription. Google is not responsible for the app or its Content.

19. Changes to these Terms

We may update these Terms from time to time, for example to reflect new features or legal requirements. If we make important changes, we will tell you in the app, by email or by notification at least 14 days before they take effect, unless the change is needed sooner for legal or security reasons. If you keep using the Service after the changes take effect, you accept them. If you do not agree, stop using the Service and delete your account.

20. General

  • Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
  • If a part is invalid. If a part of these Terms is found unenforceable, the rest stays in force.
  • No waiver. If we do not enforce a right straight away, we do not give it up.
  • Assignment. You may not transfer your rights under these Terms. We may transfer ours, for example in a merger or sale of the business, with notice to you.
  • Language. These Terms are in English. If translated, the English version prevails.
  • Notices. We may give you notice by email, in-app message, or by posting on the Service. You can contact us as set out in section 21.
